These Terms of Service (“Terms”) govern your access to and use of the services operated by Zeogly Pty Ltd (ABN 55 625 307 431) (“Zeogly”, “we”, “us”, or “our”), including:
By accessing or using any of these services, you agree to be bound by these Terms. If you do not agree, do not use the services.
Consulting engagements are subject to separate engagement-specific agreements entered into with each client. These Terms do not govern consulting services.
These Terms should be read together with our Privacy Policy, which explains how we collect, use, and protect your personal information and forms part of the agreement between you and Zeogly Pty Ltd.
zeogly.com is a public corporate website. You may browse and use this website for informational and contact purposes. You must not use this website to:
Agents Wallet allows agencies and agents to issue Google Wallet digital business cards and enable QR code pass sharing so clients’ contacts can save their own copy of an agent’s pass.
For the purposes of these Terms, an “Agency Admin” is the authorised account holder designated by the subscribing agency to manage the agency’s Agents Wallet subscription, agent accounts, and agency branding settings.
Pre-launch notice: Agents Wallet is currently in pre-launch pending Google’s production certification. Production pass issuance to live devices will commence once production certification is confirmed. Registered users will be notified when production launch occurs. If production certification is not granted, or has not been confirmed within six months of the date of a user’s registration, Zeogly will notify all registered users and no charges will apply for any period in which the production service is not available. Subscription billing commences only after production certification is confirmed and the subscribing agency is formally onboarded from the waitlist; no charges are raised at the point of waitlist registration. Any subscription fees already paid for a period in which the production service remains unavailable will be refunded to the subscriber.
The Agents Wallet service is available to licensed real estate professionals and real estate agencies operating in Australia. By registering, you represent that you meet this eligibility requirement and that all information you provide is accurate and complete. We reserve the right to terminate accounts where we discover that this representation was deliberately or materially inaccurate, without refund of any unused subscription period, except to the extent any refund right is required by the Australian Consumer Law. Where the inaccuracy appears unintentional or minor, we will provide written notice and 14 days to remedy it before termination takes effect.

All prices are in Australian dollars (AUD) and are exclusive of GST. GST will be added at checkout.

Annual plans are billed at 10 months’ price — equivalent to 2 months free. Subscriptions are billed in advance and automatically renew at the end of each billing period unless cancelled in accordance with Section 5 before the renewal date. Failure to pay will result in suspension of access to the service. For agencies requiring more than 30 agents, please contact us at support@zeogly.com for custom pricing.
Payments are processed by Stripe, Inc. By providing payment information, you agree to Stripe’s Privacy Policy and Terms of Service. We do not store your card details on our systems.
There are no long-term contracts or lock-in periods. You may cancel at any time by contacting us at support@zeogly.com. Your access continues until the end of your current paid billing period. For monthly subscriptions, we do not issue refunds for unused time remaining in the current billing period. For annual subscriptions, we will issue a refund equal to the number of unused complete calendar months remaining at the date of cancellation, multiplied by the monthly rate for your plan (as listed in Section 4), less an amount equal to two months’ fees at that monthly rate (being the value of the annual discount). No refund is payable if this calculation produces a nil or negative amount. Nothing in this clause affects any rights you may have under the Australian Consumer Law.
Effect on installed passes: At the end of your subscription period, we will push a final update to all active passes marking them as expired. An expired pass remains visible in the holder’s Google Wallet but is displayed as inactive — its contact links and QR code sharing functionality are disabled. Only the pass holder can remove it from their device. We recommend notifying your contacts before cancelling.
Account deletion: You may request permanent deletion of your Agents Wallet account and all associated personal data at any time by emailing support@zeogly.com with the subject line “Data Deletion Request”. Account deletion is distinct from subscription cancellation — it permanently removes your profile, agent data, pass status records, and contact details from our systems and, where the Google Wallet API supports it, expires and deletes associated pass objects from Google’s infrastructure, within 30 days of the later of (a) the date of the deletion request and (b) the subscription end date, except where retention is required by applicable law. Deletion cannot be undone. We recommend exporting any data you wish to retain before requesting deletion.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@zeogly.com if you suspect unauthorised access to your account.
For Agents Wallet, Agency Admins are responsible for ensuring that agents they add to their account comply with these Terms, including the Acceptable Use requirements in Section 7, and for the accuracy of agent profile data submitted to the platform.
You must not use any Zeogly service to:
For serious violations — including but not limited to sending spam, illegal access attempts, identity fraud, or wilful or reckless breaches of the Privacy Act 1988 (Cth) by the subscriber — we reserve the right to suspend or terminate an account immediately and without prior notice. For other violations, we will provide written notice and at least 14 days to remedy the breach before suspension or termination takes effect. In either case, we do not issue refunds for any period following suspension or termination, except to the extent required by the Australian Consumer Law.
All platform code, design, technology, and service content (excluding your agency or business content) is owned by or licensed to Zeogly Pty Ltd. You are granted a limited, non-exclusive, non-transferable licence to use our services for their intended purpose during your subscription period. You must not copy, modify, distribute, or reverse-engineer any part of our services.
Your agency branding, agent profile content, and contact data remain your property. By uploading content to our services, you grant us a limited licence to use that content solely to provide the service, including the right to sublicence that content to third-party platform providers (including Google LLC and Apple Inc.) as necessary to deliver the service.
Data processing: For the purposes of the Privacy Act 1988 (Cth), where Zeogly processes agent profile data on behalf of a subscribing agency, the agency (as the entity that collects and provides that data to Zeogly) is responsible for ensuring it has the agent’s consent for that processing. Zeogly processes such data solely as necessary to provide the Agents Wallet service. Nothing in this clause limits or modifies Zeogly’s obligations under the Privacy Act 1988 (Cth) in respect of personal information it holds.
Third-party trademarks: Google Wallet and Android are trademarks of Google LLC; Apple Wallet and PassKit are trademarks of Apple Inc.; Stripe is a trademark of Stripe, Inc. Use of these trademarks in connection with our services does not imply endorsement by or affiliation with their respective owners.
9.1 Google Wallet — API Compliance
Zeogly Pty Ltd holds Google Wallet API credentials (including an assigned issuer ID) and operates under the Google Wallet API program. Production pass issuance to live devices will commence once production certification is confirmed. Zeogly is directly bound by the Google Wallet API Terms of Service and operates this platform in compliance with those terms.
By using Agents Wallet, you agree to comply with the applicable requirements of the Google Wallet API Terms of Service as they apply to the use of passes issued through the platform, and not to use passes in any way that would cause Zeogly to breach those terms. You must not use passes, pass content, or any Google Wallet branding in a manner that violates the Google Wallet Brand Guidelines.

9.2 Google Wallet — Pass Content and Data
Agents Wallet issues Generic passes (digital business card type) via the Google Wallet API. The visible pass displays the agent’s name, professional title, phone number, email address, profile photograph (headshot), and the agency’s name and logo. No Agents Wallet or Zeogly branding appears on the pass face. Agent profile data embedded in passes is transmitted to and stored on Google’s infrastructure as part of the Google Wallet API service; Google’s handling of that data is governed by Google’s Privacy Policy. By subscribing to Agents Wallet and directing us to issue passes containing your agents’ profile data, you represent that you have obtained any consents or authorisations required from your agents for this processing. Our compliance with cross-border transfer obligations under the Privacy Act 1988 (Cth) is described in our Privacy Policy.
9.3 Google Wallet — Pass Lifecycle and Updates
While your subscription is active, changes to an agent’s headshot, professional title, or agency branding (logo and name) are pushed to all saved passes automatically. The pass-sharing QR code embedded in each saved pass rotates automatically after each successful use — not on a time-based schedule — so each pass holder can share the agent’s card with one new contact at a time; once shared, the pass holder’s pass-sharing QR code is automatically replaced with a new one. An agent’s name, once set on an issued pass, does not change remotely. Passes cannot be removed from a holder’s device remotely — only the pass holder can delete them. However, passes can be expired or deactivated via the Google Wallet API, which disables their contact links and QR code sharing functionality while leaving the pass visible on the device. When a pass holder removes a pass from their Google Wallet, Google notifies us and we update our pass status records to reflect the removal, ceasing any further pass maintenance pushes to that device.
Agent suspension: When an agent account is suspended by the agency admin, we push an update to all passes issued to that agent marking them as inactive. The pass remains on the holder’s device but its contact links and QR code sharing functionality are disabled until the agent is reactivated. If the agent is permanently removed, we push a final expiry update to all associated passes before closing the account.
We are not responsible for changes to Google Wallet API functionality, availability, or terms that affect the service. In the event that Google terminates Zeogly’s access to the Google Wallet API, we will give registered subscribers written notice as soon as reasonably practicable (and in any event as soon as Google notifies us of the termination) and will push a final expiry update to all active passes before access ceases.
9.4 Pass Holders
Contacts who scan an agent’s QR code and save a pass to their device (“pass holders”) are not subscribers and have no contractual relationship with Zeogly under these Terms. Pass holders interact with passes solely through their chosen wallet application. Zeogly does not collect personal information from contacts in connection with pass installation — the installation process is handled by Google’s own platform and governed by Google’s Privacy Policy. Apple Wallet — Coming Soon
Agents Wallet will support Apple Wallet passes via Apple PassKit in a future release. These Terms will be updated to cover Apple Wallet pass issuance when that feature launches.
To the maximum extent permitted by law, our services are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted, error-free, or free from harmful components.
Nothing in this clause excludes, restricts, or modifies any guarantee, warranty, or right that cannot be lawfully excluded under the Competition and Consumer Act 2010 (Cth) (Australian Consumer Law) or any other applicable law. Where such a guarantee or condition is implied by law and cannot be excluded, our liability for breach of that guarantee or condition is limited to the extent permitted by law.
To the maximum extent permitted by applicable law, Zeogly Pty Ltd is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services, including loss of profits, data loss, or business interruption.
Our total aggregate liability to you for any claims arising under or in connection with these Terms is limited to the fees you have paid to us in the three months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits or excludes liability for death or personal injury caused by our negligence, fraud, any consumer guarantee under the Australian Consumer Law, or any other liability that cannot be lawfully excluded under Australian law.
We aim to provide reliable services but do not guarantee uninterrupted or error-free access. We may temporarily suspend services for maintenance, updates, or circumstances beyond our reasonable control. We are not liable for any losses arising from service downtime. Nothing in this clause excludes, restricts, or modifies any consumer guarantee or right that cannot be lawfully excluded under the Australian Consumer Law.
We may update these Terms from time to time. Material changes include, without limitation, changes to pricing, data handling practices, cancellation or refund terms, user rights, or limitation of liability provisions. We will notify registered users of material changes by email at least 14 days before they take effect. Continued use of our services after changes take effect constitutes acceptance of the updated Terms. If you do not accept the changes, you must cancel your subscription before the effective date.
Changes required to comply with updates to the Google Wallet API Terms of Service or other third-party platform terms on which our services depend may take effect immediately upon our notification to you of the relevant platform provider’s change, without the 14-day notice period described above. If any such immediately effective change materially reduces the service or increases your costs, you may cancel your subscription without penalty within 14 days of our notification and receive a pro-rata refund of any prepaid subscription fees.

If you have a dispute with us arising from these Terms or our services, please contact us first at support@zeogly.com with a written description of the dispute. We will make reasonable efforts to resolve the dispute by good-faith negotiation within 30 days of receiving your notice. If the dispute is not resolved within that period, either party may commence proceedings in accordance with Section 15 below.
Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction where necessary to protect confidential information or intellectual property rights.
These Terms are governed by the laws of the Australian Capital Territory, Australia. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of the Australian Capital Territory.
Questions about these Terms:
If any provision of these Terms is found to be invalid, unenforceable, or illegal under applicable law, that provision will be severed from these Terms to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
